1. Parties
This Business Service Agreement ("Agreement") is between Loyalita Armenia ("Provider"), Yerevan, Armenia, and the business entity subscribing to the Service ("Client").
2. Service Description
The Provider grants the Client access to the Loyalita platform for creating and managing digital loyalty programs, including Apple Wallet and Google Wallet cards, push notifications, customer segmentation, and analytics.
3. Subscription and Payment
The Client selects a tariff plan as published at . All prices are in ֏ plus ԱԱՀ. Invoices are issued monthly or annually per the chosen billing interval.
4. Client Obligations
- Comply with applicable laws regarding customer data;
- Not use the platform for unlawful purposes;
- Maintain accurate billing and contact information;
- Ensure end-user consent for loyalty program participation.
5. Data Processing
The Provider processes personal data on behalf of the Client as a data processor. Details are set out in the Data Processing Agreement.
6. Intellectual Property
The platform and all related intellectual property remain the property of Loyalita Armenia. The Client retains ownership of content uploaded to the platform.
7. Service Level
The Provider aims for 99.5% platform availability. Scheduled maintenance windows are communicated in advance.
8. Termination
Either party may terminate with 30 days' written notice. The Provider may suspend access immediately upon non-payment or material breach.
9. Limitation of Liability
The Provider's aggregate liability shall not exceed the fees paid by the Client in the 12 months preceding the claim.
10. Governing Law
This Agreement is governed by the laws of the Republic of Armenia. Disputes shall be resolved by the competent courts of Yerevan.
